Job Summary

The Counsel, Environment and Indigenous Affairs is responsible for advising on all legal questions relating to environmental and Indigenous law for CN’s Canadian operations. The role manages and collaborates with external counsel on litigation relating to Indigenous and environmental law, works with internal clients on compliance programs, and advises stakeholders during emergency situations. Furthermore, the incumbent must partner with various departments on public reporting, including sustainability and annual reports.

Main Responsibilities

Advise on Legal Questions Relating to Environmental and Indigenous Law - 65%
- Receive questions from clients (individuals across CNs departments, including Environment and Indigenous, Real Estate, P&SM, HR)
- Review documents and carry out required research
- Contact external counsel to provide written and verbal advice
- Draft memos
- Provide comments on documents
- Advise on permits required for construction projects, jurisdiction issues (Provincial and Federal), capacity projects, new regulations coming into force, as well as corporate and commercial matters

Manage and Collaborate with External Counsel - 10%
- Consult with Vice-President Law and CN Counsel responsible for litigation
- Gather facts and relevant documents
- Find witnesses and participate in meetings
- Assist in developing legal strategies
- Provide external counsel with instructions on next steps

Advise Internal Clients and Stakeholders During Emergencies - 10%
- Provide advice on applicable regulations during emergency situations (e.g. derailments, blockades)
- Review reports to be summited to appropriate agencies
- Communicate mandates to consultants and work closely with the team on remediation steps

Partner with CN Departments on Public Reporting - 15%
- Review disclosures
- Provide information and data for reporting to relevant individuals across CN including Sustainability, Public Affairs, and Corporate Secretary
- Work with internal clients on compliance programs including internal review of compliance with specific regulations

Working Conditions

The role has standard working conditions in an office environment with a regular workweek from Monday to Friday. The role requires mínimal travel (10%) mainly within Canada. The role requires being available on-call 24/7 to respond to critical incidents.

**Requirements**:
Experience
- Minimum 10 years of experience with environmental and Indigenous law

Education/Certification/Designation
- Bachelor’s Degree in Law
- Member of a Provincial Bar

The decisions made by the Counsel, Environment and Indigenous Affairs can have an impact on CN’s reputation and operations as well as the environment. Daily decisions center on review of reports provided to agencies, comments on contracts and environmental advice on various matters. All material decisions that could potentially impact CN’s reputation must be made in conjunction with the Vice-President Law.

Level of Interaction/Influence

The Counsel, Environment and Indigenous Affairs interacts with stakeholders internal and external to CN. Within the organization, the incumbent works closely with individuals from Sustainability, Environment (daily), Public Affairs, HR and P&SM. Outside collaboration is carried out with members of external counsel, government agencies and officials, Indigenous communities, 3rd party counsel and external consultants.

Employees Supervised/Organizational Structure

The Counsel, Environment and Indigenous Affairs reports to the Vice-President Law. The role has no supervisory responsibility.
