Reporting directly to the President and COO, the VP Legal Affairs and Risk Management is a key member of the Executive Leadership Team and will have responsibilities for both PHL and our operating company, Cowan Insurance Group (“CIG”)

**What you will do**:
**PHL**
- Investment Activities
- Assistance with Fund manager due diligence, document review, compliance etc.
- Oversight of Bank and Custodian relationships.
- Legal matters re owned and leased Property,
- Executive owner of Information Security,
- Maintaining and Managing the Group P&C Insurance Coverage matters
- Policy Renewal
- Claims
- General Legal matters (regulatory and legislative policy monitoring)
- Trademarks
- Overall Corporate Policies (Investments, HR, IT etc.)
- Due diligence and M&A activities, whether in the operating company or through a direct investment

**CIG**
- Business Continuity Management
- Privacy Officer
- Compliance Officer
- Management of the Whistle blower Channel
- Annual Business Risk Assessment Process and ongoing reporting
- Licensing process
- E & O Reporting and Management
- Best practice on Data security, including SOC II and Privacy, and adherence to changing legal requirements
- Contract negotiation, review and ongoing compliance
- Work with HR on policies procedures, Health and safety and employee relations issues
- Deployment of new regulatory and legislative matters

Direct Reports
- CIG Director, Compliance and Quality Assurance

**What you will bring**:

- Minimum of 5 years of relevant legal work experience (law firm or in-house)
- Proven analytical and problem-solving skills with experience simplifying and resolving complex problems
- Highly focused with attention to detail and ability to collaborate well with others.
- Excellent verbal and written communication skills with a practical solution-oriented approach
- Demonstrated superior skill in legal drafting, including agreements and contracts.
- Superior organizational and time management skills with experience handling multiple priorities and requests.
