**Your role at Baxter**
As a Legal Counsel you will resolve various issues, draft/review/advise on a broad range of contracts, develop/revise templates, conduct legal research and oversee projects while appropriately seeking input from the business and review/approval from the Director, Legal (Canada).
Provide legal support relating to RFPs, drafting/reviewing/advising on contracts, developing/revising templates and interpreting contract terms and conditions; responding to and resolving contract compliance-related inquiries and routine legal questions; preparing and assisting in the processing of template agreements or contract terms and conditions from initial drafting to finalization; managing follow-up communications to business personnel regarding contract terms and conditions; conducting legal research and preparing memos on various legal questions.
**What you'll be doing**
- Negotiating, reviewing, writing, drafting and executing a wide variety of contracts on behalf of the company, including services agreements, distribution agreements, purchase agreements, software license agreements, NDAs, notices, letters of intent, consent letters, and other correspondence.
- Maintaining, updating and/or creating templates as required for the launch of new products and services.
- Assisting in the processing of Baxter's template agreements from initial drafting to finalization; manage and handle follow up communications with business personnel outlining Baxter's contractual obligations; and assist in organizing documents for a variety of tasks.
- Conducting legal research and preparing memos on various legal questions.
- Assisting the Director of Legal (Canada) in the evaluation of existing department and procedures/processes to help grow department efficiency and productivity.
- Providing accurate, efficient and timely support to business stakeholders and colleagues in function areas.
- Working with Senior Paralegal on issues to ensure global compliance requirements are met.
- Working collaboratively with global counterparts to ensure global requirements are incorporated into contracts and other business documents.
- Leading process innovation to develop/identify procedural gaps, drive for improvements, efficiencies, achieve results and enhance relationships with internal business customers.
- Perform other tasks as directed by the Director, Legal (Canada).
**What you'll bring**
- Required: LLB, called to the Bar in the Province of Ontario, LLM and/or other courses in relevant areas of law preferred
- 2+ years’ experience working in the corporate department of a law firm with commercial experience, or for an in-house corporate legal department of a large company, preferably in healthcare.
- Strong contract drafting and interpreting skills
- Strong interpersonal and presentation skills, along with the ability to communicate effectively with others at all levels of the organization
- Strong oral and written communication skills
- Very detail oriented and strong software database and project management abilities
- Ability to multi-task, effectively prioritize, collect and analyze information, and meet deadlines in a timely manner. Must be a self-starter with the ability to take initiative to drive assignments to completion, including handling follow-up matters, gathering, summarizing and organizing information. Must be able to work independently with mínimal supervision. Ability to collaborate and work with all types of individuals at all levels, internal and external, including attorneys, paralegals, business contacts and third party attorneys
