**POSITION OVERVIEW**

The **Corporate Paralegal** will provide support in the review and management of contracts, vendor and customer lien waivers, statutory declarations, and other legal documents. This role ensures compliance with company policies and legal regulations while managing the administrative aspects of corporate legal processes.

**KEY AREAS OF RESPONSIBILITY**

**Contract Review & Management**:

- Review, draft, and revise various contracts, including vendor agreements, service contracts, and other legal documents.
- Ensure contracts align with legal standards and corporate policies, identifying risks and suggesting modifications as necessary.
- Maintain and manage a contract database, tracking key contract terms, expiration dates, and renewal options.
- Communicate with internal stakeholders and external vendors to negotiate terms and resolve contract-related issues.

**Vendor & Customer Lien Waivers**:

- Review and process vendor and customer lien waivers, ensuring compliance with state/provincial lien laws.
- Ensure all necessary documentation is submitted accurately and in a timely manner to avoid potential claims.
- Work closely with vendors, customers, and project managers to address issues related to lien waivers and secure appropriate releases.

**Statutory Declarations**:

- Prepare and review statutory declarations to verify completion of work or services and confirm that no outstanding claims or liens exist.
- Ensure accuracy of information in statutory declarations by cross-referencing with contracts and project documentation.
- Liaise with external contractors, vendors, and other parties to collect and verify the required declarations.

**Compliance & Regulatory Oversight**:

- Ensure compliance with corporate policies, local laws, and regulations related to lien waivers and statutory declarations.
- Monitor changes in lien laws and industry regulations, advising internal teams on potential impacts.
- Assist in regulatory filings related to project work, contracts, and vendor management as necessary.

**Legal Documentation & Support**:

- Assist in the preparation of affidavits, releases, waivers, and other legal documents in connection with project work and corporate legal matters.
- Provide administrative and legal support during disputes, claims, or legal actions involving vendor and customer waivers, ensuring appropriate documentation is provided.
- Maintain records of all lien waivers, stat decs, and legal documentation for audit and compliance purposes.
- Other duties as assigned.

**YOUR SKILLS & EXPERIENCE**
- 3+ years of experience as a paralegal, preferably with a focus on contracts, lien waivers, and statutory declarations in Ontario.
- Strong understanding of contract law, lien waivers, and statutory declarations.
- Experience working with construction or real estate projects where lien waivers and statutory declarations are common.
- Familiarity with Canadian Employment Law would be considered an asset.
- Excellent negotiation, communication and interpersonal skills.
- Ability to manage multiple tasks and work under pressure to meet deadlines.
- Strong analytical and problem-solving abilities.
- High level of integrity and professional ethics.

**EDUCATION**:

- Associate’s or Bachelor’s degree in Paralegal Studies, Legal Administration, or related field.
- Paralegal License is preferred.
