**Key Areas of Responsibility**:
The Commercial Manager works closely with the Project Director and other internal management employees to review contractual terms as required by Cementation; to advise on issues arising, and to assist in the drafting of qualifications and amendments to reduce exposure. The Commercial Manager is also involved in the drafting of other contractual documents such as subcontract or other collaborative arrangements with third parties.

**Essential Duties and Responsibilities**:

- Work in compliance with all Health and Safety rules and regulations for Cementation.
- Monitor work environment for health and safety hazards or infractions and report same to the Health and Safety Department.
- Keep work area clean and free of clutter.
- Use proper equipment for the job, e.g., stepladder vs. chair.
- Participate in department safety huddles and incident imaging.
- Review contractual terms as required.
- Review draft contracts submitted by Clients.
- Provide management with reports highlighting potential contractual risks and liabilities.
- Draft contractual qualifications for bids and contractual amendments for contracts.
- Draft correspondence with regards to commercial and contract issues.
- Collaborate with project team members for inputs into client and corporate reporting.
- Review Bids and Proposal documents to verify inclusion of contractual qualifications.
- Participate in negotiations with Clients, material suppliers or subcontractors to resolve contractual issues, change management and finalize terms.
- Verify execution copies of contracts and assist in the execution process.
- Attend commercial or contract change management meetings with Client or subcontractors.
- Provide draft contracts and other commercial documents based on the Company's standard documents as required.
- Assist in drafting and negotiating other commercial documents e.g., subcontract agreements, collaboration agreements with First Nations.
- Advise on legal issues and provide support for any litigation.
- Other such duties as may be assigned.

**Skills, Knowledge & Abilities**:

- Exceptional written and oral communication skills in English.
- Analytical skills necessary to carry out reviews of contracts and other commercial documents.
- Strong commercial / business acumen.
- Able to build and maintain lasting relationships with other departments, key business partners, clients, and other stakeholders.
- Able to work efficiently as a part of a team as well as independently.
- High level of confidentiality and trust.
- Ability to prioritize workload to ensure deadlines are met.
- Proficient computer skills, Microsoft Office Suite (Word, PowerPoint, Outlook, and Excel).

**Supervisory Responsibilities**:

- Has no direct reports.

**Pre-Employment Qualifications**:

- Pass pre-employment drug, alcohol and medical testing.
- Criminal Record Check (if applicable).
- Bachelor of Laws or other suitable formal commercial/procurement/contract law or legal training.

**Education and Experience**:

- Post-secondary education/degree in commerce, legal, science or engineering disciplines.
- Minimum of 5 to 10 years relevant experience, preferably in mining or construction contracts.
- Consideration will be given to anyone with commercial experience in heavy civil or industrial construction.
- Project management experience/designation is also considered an asset.
