As a key member of our legal team, the Director, Securities and Regulatory Legal, will be responsible for supporting and advising on a wide range of regulatory matters, with particular expertise in securities regulation. In addition, the incumbent will provide legal advice and support on derivative transactions. Reporting to the Senior Vice President, Legal, the Director, Securities and Regulatory Legal, will collaborate with partners across various departments within the organization as well as engage with external counsel and other stakeholders outside the organization.

As a member of our team, you will be responsible for:
- Providing legal advice and support on a broad range of regulatory matters, in particular with respect to securities-related matters, including securities regulations, compliance, disclosure requirements and trading activities.- Providing legal advice and support on derivative transactions, including negotiating and reviewing derivative contracts, collateral agreements, and related documentation.- Staying apprised of, reviewing and analysing regulatory developments and changes and advising internal stakeholders of their impact on IMCO’s investments and operations.- Collaborating with internal stakeholders, including Front Office, Compliance, Risk and HR, to develop and implement policies, procedures and best practices to support compliance with regulatory requirements.- Supporting strategic projects for the organization, including managing cross-functional stakeholders.- Assisting in the preparation and filing of regulatory reports, submissions and disclosures.- Acting as a trusted advisor to business units to assess and mitigate various legal risks.

What you need to succeed:
- 7+ years post-call experience gained at a major law firm or as in house counsel practicing securities regulatory law.- Strong knowledge and understanding of Canadian regulatory frameworks, in particular with respect to securities regulation.- Knowledge of US securities regulation would be an asset.- Willingness to develop legal expertise in derivative transactions is a must.- Law degree (J.D. or LL.B.) from an accredited law school; MBA or CFA designation would be an asset.- Call to the Ontario Bar and member in good standing with the Law Society of Upper Canada.- Excellent legal and business judgment.- Excellent written and oral communication and negotiation skills, with the ability to translate technical concepts and conclusions into a language applicable to the targeted audience.- Well-established interpersonal relationship-building skills and an ability to work both independently and collaboratively with internal and external stakeholders.- Ability and desire to ‘hit the ground running’ with respect to securities regulation.- Highly motivated team player with a proven ability to manage several different priorities at one time, including under tight timelines.
