Legal Vice President – Corporate Affairs and Investments

Reporting to the Executive Vice-President – Head of Legal Affairs, the incumbent will act as legal counsel responsible for a wide range of transactional law files, including mergers and acquisitions, project financing (bank and bond), corporate reorganizations, as well as commercial and corporate law for Pomerleau and its subsidiary, Pomerleau Capital.
What you will do
- Manage the Corporate Affairs and Investments division of the Legal Department;
- Intervene in the legal aspects of files related to various transactions involving the company (reorganizations, mergers and acquisitions) and participate in the preparation of documentation;
- Participate in strategic discussions with internal stakeholders, including senior management, regarding transactions and investments;
- Prepare, review, analyze, comment on and negotiate various types of contracts, including shareholder agreements, limited partnership agreements, investment funds, construction and operating contracts, commercial leases and concessions;
- Maintain and update, in collaboration with the corporate secretary, the corporate documents of the company and its subsidiaries;
- Advise the Pomerleau Capital team on public-private partnerships, project financing, investments, etc;
- Maintain/manage the legal aspects of the Pomerleau Capital team for the PCap Fund, its investors, subsidiaries and entities;
- Prepare, review and negotiate collaboration agreements, memoranda of understanding and other documents with partners, including partnership, corporate and shareholder agreements for Pomerleau Inc., Pomerleau Capital Inc. and PCap Fund;
- Negotiate and review all financing and credit agreements;
- Demonstrate initiative and innovation, and seek opportunities for improvement in order to optimize service quality and efficiency;
- Coordinate and collaborate with external legal advisors.
This role could be for you if you have
- Bachelor's degree in law and membership in the Quebec Bar(membership in a law society of another Canadian province will beconsidered an asset);
- 15 years of relevant experience in commercial, corporate andfinancing law;
- Relevant experience in PPP-type contractual agreements, commercialleases, energy supply agreements and derivatives (ISDA) (will beconsidered an asset);
- Relevant experience in project and real estate bank and bondfinancing (will be considered an important asset);
- Working knowledge of the construction industry;
- Good understanding of business needs and ability to dealeffectively with a wide variety of files and types of law;
- Demonstrated experience in team management and inspirationalleadership;
- Excellent negotiation and persuasion skills;
- Strong legal argumentation skills, both written and verbal;
- Fluency in French and English;
- Good knowledge of computer tools and work-related software;
- Good judgment, initiative, leadership, autonomy, versatility andteam spirit;
- Willingness to travel on an occasional basis to different regionsof Canada where work-related representations will be required.
