Join to apply for the Corporate Law Clerk role at McMillan LLP The opportunity is for a full-time Senior Corporate Law Clerk in our Toronto office. This is an excellent opportunity for a Law Clerk with experience at the senior level, who is looking for a new and exciting challenge at a national law firm. What You’ll Do Ontario and Federal incorporations, amendments, amalgamations, continuances and dissolutions. Conduct minute book reviews and draft required updating documents. Assist with complex corporate transactions and corporate and tax reorganizations including drafting, organizing and finalizing transaction documents and closing agendas, assisting with closings and preparation of closing books. Regular maintenance of corporations including preparation of documents relating to annual meetings/proceedings and associated filings. Ensure compliance with relevant statutory requirements and provide input on corporate compliance matters. Provide input on checklists and precedents. Update and maintain information in our corporate database. Assist with mentoring and training of junior department members. What You Bring Minimum of seven to ten years of Law Clerk experience at the intermediate level or higher. Extensive experience with complex corporate transactions and reorganizations. Mandatory knowledge of legal and technical procedures, statutes, regulations, and applicable governmental practices. Strong organizational and interpersonal skills. Detail-oriented and able to effectively meet deadlines. Works well in a team setting and provides exceptional client service. Embraces evolving technology. Strong skills in Microsoft Word and Excel. Prior experience with a corporate database product (preferably cloud-based). Experience with iManage, Intapp Time, or similar document management and timekeeping software.
