What to Expect:

The Bay is seeking a lawyer with at least four years of corporate-commercial experience at a reputable law firm and/or as an in-house counsel (ideally in a retail environment). The successful candidate will be expected to draft, review, and negotiate contracts related to many aspects of the retail business, provide strategic and proactive advice on a wide variety of issues, serve as the legal lead for cross-functional projects, and advise on governance and policy matters. In collaboration with The Bay's cross-functional teams, the Director, Legal Counsel will be entrusted to provide day-to-day counsel as well as recommendations on policies/compliance protocols to protect The Bay, its customers, its employees, and other third-party partners.

What You Will Do:

  1. Draft, review, and negotiate a wide variety of commercial agreements, including those related to technology, supply chain/logistics, financial services, licensing, marketing, consulting, and other operational and vendor agreements.
  2. Provide strategic advice and guidance to stakeholders regarding business and legal issues and risks across a wide range of portfolios including financial services, supply chain/logistics, CASL, privacy/information security, consumer protection, and other commercial and regulatory compliance matters.
  3. Manage disputes and oversee litigation including settlement negotiations and agreements.
  4. Serve as the legal lead on various company-wide projects and initiatives.
  5. Issue-spot legal and business concerns within complex deals and coordinate with cross-functional teams to minimize risk.
  6. Provide support for the rest of the Legal team on an as-needed basis.

What you will bring to the team:

  1. At least 5 years of corporate-commercial experience at a reputable law firm and/or as an in-house counsel.
  2. Strong communication skills, ability to present clear and practical legal advice.
  3. Ability to work in a dynamic, fast-paced environment and to adapt quickly to changing priorities.
  4. Highly self-motivated and proactive; eager to take ownership over work product and able to advance work independently.
  5. Team-oriented; demonstrates a commitment to shared success.
  6. Excellent interpersonal skills and ability to develop collaborative relationships at all levels in the organization.
  7. Strong analytical and problem-solving skills combined with attention to detail and thoroughness.
  8. Excellent organizational skills and capability to effectively manage priorities while meeting timelines.
  9. Demonstrate an ability to provide practical, business-oriented legal advice and recommendations.
  10. Must be a member in good standing of the bar.
