The Senior Legal Counsel will serve as a key legal partner, with an emphasis on the solar development platform. Responsibilities include leading and supporting complex development, acquisition, and financing transactions; managing routine legal matters such as NDAs, vendor and service agreements, and corporate governance; advising management on legal risk and strategy; overseeing disputes; and managing relationships with external counsel. This role requires a forward-thinking legal leader who combines strategic vision with sound judgment, strong business acumen, and the ability to guide complex decisions in a dynamic, regulated environment. Key Responsibilities Provide expert legal counsel to executive leadership and the Board of Directors on complex corporate, regulatory, and operational matters. Anticipate risks and develop practical, solutions-oriented strategies to enable sustainable business growth. Oversee governance frameworks and Board processes, ensuring accurate records, policy compliance, and best practices in corporate accountability and transparency. Ensure full adherence to all applicable laws, regulations, and industry standards. Maintain open and proactive communication with regulators and advise leadership on emerging legal or compliance developments. Lead or support strategic transactions including mergers, acquisitions, joint ventures, and financing activities. Draft, negotiate, and review commercial, corporate, and vendor agreements to protect company interests and mitigate risk exposure. Direct the organization’s litigation and dispute resolution strategy, manage outside counsel, and drive cost-effective outcomes aligned with business objectives. Collaborate cross-functionally with executive and operational teams to align legal priorities with business goals, ensuring legal considerations are integrated into key strategic decisions. Qualifications & Experience Education: Juris Doctor (JD) or equivalent law degree. Member in good standing of the Ontario Bar. Experience: Minimum 7+ years of progressive legal experience in corporate, commercial, and/or regulatory law, ideally within an in-house counsel role in a regulated industry. Demonstrated success advising senior management on complex legal, compliance, and strategic business issues. Proven experience leading legal teams and managing external counsel. Strong negotiation, communication, and leadership skills, with the ability to balance strategic insight and operational execution. Deep understanding of corporate governance, risk management, and compliance frameworks. Preferred Experience: Background in the energy sector or a related regulated industry. Experience with M&A and strategic transactions in the energy or infrastructure space. Familiarity with commercial contracts and regulatory structures specific to the energy or power markets.
