OverviewAs a seasoned legal professional who thrives at the intersection of law and business strategy, the General Counsel will provide legal advice and strategic support to the CEO, President & CFO, and executive leadership team. Supporting continuous growth, the General Counsel will oversee all legal matters across the business, including but not limited to, corporate governance, real estate transactions, commercial contracts, and legal risk management.This is a critical role in helping the company navigate complex legal and regulatory frameworks while supporting innovation and business growth. The General Counsel will work closely with internal teams and external counsel to ensure legal excellence and practical business alignment.ResponsibilitiesAdvise the CEO, President & CFO, and executive team on all legal matters impacting the organization, providing practical, business-minded legal counselDraft, review, and negotiate a wide range of commercial contracts, including vendor agreements, service agreements, investment documentation, and NDAsOversee corporate governance activities, including support for board meetings, shareholder matters, and maintaining corporate records and minute booksMaintain and update Offering Memoranda (OMs) and other investor-facing legal documents, working closely with internal teams and external counselSupport real estate transactions, including acquisitions, dispositions, due diligence, and closing documentationServe as liaison to external counsel, managing scope, cost, and delivery of specialized legal supportProvide legal support on employment law, privacy, IP, and risk management issues as neededStay current with evolving laws and regulations related to securities, exempt market dealers, and private equity - and assess their impact on business operationsAssist with legal aspects of strategic initiatives such as M&A, corporate structuring, and launching new funds or productsRespond to legal inquiries regarding provincial licensing and investor-related legal concernsHandle general and ad hoc legal projects or regulatory queries from internal stakeholdersOversee preparation and submission of all annual and ad-hoc corporate filings, ensuring compliance with applicable corporate and securities lawsCoordinate with third-party legal counsel on regulatory filings, corporate updates, and legal documentationQualifications10+ years of relevant legal experience, ideally in both private practice and in-house settingsUndergraduate university degree and LL.B. or J.D.; called to the Ontario barLicensed and in good standing with a Canadian provincial Law SocietyBusiness-minded lawyer able to provide practical and actionable legal advice to a range of business groupsStrong knowledge of securities law and familiarity with corporate/commercial, real estate, employment, trademark, and privacy lawFamiliarity with the private equity and portfolio management industriesAbility to take ownership of complex matters and drive them to resolutionExcellent drafting, negotiation, and analytical skillsAbility to manage external legal counsel and legal budgetsPredictive Index AssessmentsAs part of our hiring process, candidates complete two short assessments from Predictive Index:A Behavioural Assessment (5–10 minutes, untimed) to understand your work and communication style.A Cognitive Assessment (12-minute timed) to measure learning and problem-solving abilities.These are not tests of intelligence or experience; they simply help us understand how you work best.Start the Behavioural Assessment here: https://assessment.predictiveindex.com/bo/3S57/GeneralCounselAfter completing the first assessment, you’ll receive an email with instructions for the second assessment.About UsFounded in 2015, Equiton is one of Canada’s fastest-growing private equity firms, helping Canadians build wealth through high-quality real estate investments.
