This Role Is Not for You If…You prefer to focus narrowly on one area of law rather than balancing corporate, regulatory, and transactional workYou avoid fast-paced environments where new structures and agreements are being built from scratchYou default to “no” when presented with risk rather than helping teams find compliant, practical paths forwardYou are uncomfortable making complex legal concepts understandable to non-lawyersYou prefer a reactive advisory role instead of proactively spotting risks and shaping strategy What You’ll DoCorporate & Transactional Structuring: Support the design and execution of MSOs, trusts, equity models, and acquisition structures with clear, compliant legal frameworksRegulatory & Compliance Oversight: Ensure compliance with healthcare regulations (CPOM, Stark, Anti-Kickback), employment law, and other federal and state requirementsContracting & Legal Infrastructure: Draft, review, and negotiate contracts across MSAs, employment, leases, financing, and vendors; build standardized templates for scaleRisk Management & Issue Spotting: Identify legal risks early and design mitigation strategies without slowing down the businessCross-Functional Business Support: Act as a partner to leadership, product, partnerships, and enablement teams - providing guidance that is practical, timely, and business-alignedGovernance & Entity Management: Maintain clean, auditable records across Meroka’s entity structure; oversee corporate governance and support board documentation We’re Looking For Someone Who…Has deep knowledge of healthcare and regulatory law (CPOM, scope-of-practice, HIPAA, ownership models)Brings business-first judgment - able to balance growth with compliance and risk managementIs skilled at drafting, interpreting, and negotiating complex agreements with clarity and commercial pragmatismUnderstands multi-entity corporate structures, trusts, and MSOsCan translate legal concepts into plain language for non-lawyers and keep stakeholders aligned on risk, rights, and responsibilitiesSpots risks early, builds safeguards into systems and documents, and supports scalable internal policies that reduce exposure over time What We OfferCompetitive compensation and health benefitsUnlimited vacation and flexible working arrangementsThe opportunity to build scalable legal frameworks in one of healthcare’s most innovative ownership modelsA seat at the table shaping strategy across transactions, compliance, and governanceA mission-driven, ambitious team that values clarity, pragmatism, and long-term thinking Additional NotesThis role will require occasional travel to the USA and Canada for on-site campaigns, team collaboration, and brand activations.
