Our national Corporate, M&A and Securities team has a long history of advising large national and international public and private companies, mid-size and entrepreneurial businesses, financial institutions, dealers, investment fund managers and advisors, boards of directors and other market participants on a wide range of corporate finance and securities transactions, mergers and acquisitions, private equity and corporate governance and regulatory matters. Given the depth of our collective experience, we are well positioned to provide strategic, business-oriented legal advice to our clients. At this time, we are looking to add a Securities Law Clerk with extensive securities law experience (located in either Montreal or Toronto) to our team.

Key tasks for this role will include managing insider reporting, CDS filings and NRD filings as well as continuous disclosure filings on SEDAR+, such as annual, quarterly and other filings for reporting issuers and mutual funds. The successful candidate will also be responsible for prospectus and investment fund filings on SEDAR+, including drafting ancillary documents for these filings. Additionally, the position involves drafting material change reports, early warning reports, and news releases (and the dissemination of same), while also assisting with filing exemptive relief applications. Other duties for this role will include preparing fee memos and continuous disclosure documents, such as annual and interim certifications. The successful candidate will also assist with TSX/TSXV matters, including filings, as well as other transactions or matters. Familiarity with NI 31-103 and NI 33-109, the registration of advisors and dealers, and compliance/regulatory filings for registrants will be necessary, as is familiarity with CIRO rules.

The ideal candidate will possess a Law Clerk Diploma/Certificate and will also have:

  • Minimum of 5 years experience working as a Securities Law Clerk in the matters described above;
  • excellent team and client skills as well as strong communication skills;
  • writing skills required to draft documents, reports and correspondence;
  • strong organizational skills and ability to effectively manage conflicting timelines;
  • an ability to multi-task and work under pressure; and
  • an ability to take initiative and work independently when appropriate.

While not required, bilingualism would be considered an asset.
