About the Role OpenTable seeks a highly organized, motivated attorney to join as Associate Counsel, Commercial. The role involves drafting, negotiating, and reviewing vendor, partner, and commercial contracts across multiple jurisdictions. You will collaborate with internal business teams and external stakeholders—including parent company, sister‑brand colleagues, and outside counsel—to support objectives while mitigating legal risk. Key Responsibilities Draft, review, negotiate, and manage a wide variety of international commercial agreements (vendor & client contracts, SaaS agreements, NDAs, service agreements, real‑estate leases, ancillary documents). Develop and update playbooks and workflows for contracting activities; work with the business and global procurement team to improve processes and consistency. Advise on commercial aspects of product initiatives (including payment‑related matters) and customer support (change of ownership, other legal inquiries). Provide timely advice on legal and business risks; recommend strategies and mitigation tactics. Advise on contractual disputes and resolutions. Liaise with cross‑functional team members, legal colleagues at parent company and sister brands, and outside counsel as needed. Qualifications / Experience J.D. from a nationally or internationally recognised law school; in good standing with at least one state or provincial bar. Minimum 3 years’ experience drafting, negotiating, and reviewing contracts across multiple jurisdictions (including the USA). Ability to understand, review, and draft terms using standard playbooks; experience redlining and negotiating agreements. Exceptional skill in spotting issues, assessing and communicating risks, and creating flexible, creative solutions. Strong ability to balance multiple matters, allocate time to priorities, and respond swiftly under tight deadlines. Highly motivated, resourceful, and proactive; high integrity with strong verbal and written communication skills. Collaborative nature and ability to work across business units and with colleagues at parent company and other Booking Holdings brands. Adaptable and open to new or unfamiliar areas of the law. Prior experience with document‑management systems and contract‑lifecycle‑management tools is a plus. Language skills are a plus.
