Client Profile

Our client is currently looking for a Senior Corporate Law Clerk for a large company. This company has an excellent culture and a lot of career development opportunities.

Duties and Responsibilities:

- Report to the Chief Legal Officer and working under the direction of the Assistant Corporate Secretary;

- Complete various corporate forms and documentation;

- Manage annual minute book maintenance/filings and perform due diligence reviews on minute books;

- Manage all documentation regarding asset purchase and sale transactions, including but not limited to closing documents, accounts, reporting letters;

- Address all matters relating to corporate/commercial financing such as the review of commitment letters and preparation of security documents;

- Handle all matters relating to corporate reorganizations, including preparation of documents;

- Manage and maintain banking tasks;

- Additional duties as assigned.

Requirements:

- 8+ years of experience as a Senior Corporate Law Clerk;

- Successful completion of Law Clerk diploma program;

- Demonstrative experience working within a corporate commercial practice;

- Familiarity with the OnCorp filing system and PC Law;

- Proficient with MS Office 365 (Word, Excel, Outlook, PowerPoint, Teams,);

- Excellent communication, interpersonal and time management skills;

- Member of ILCO with thorough knowledge of legal procedures, statutes and regulations applicable to commercial and corporate law

- Demonstrative analytical skills, good judgment, and a and high attention to detail; and

- Ability to work well in a team as well as with minimum supervision when required.
