These values have provided the guiding principles for Simon Group Holdings to continue to grow and remain successful.Job SummaryThe Corporate Counsel/In House Attorney role is responsible for representing the Company and its operating affiliates and subsidiaries in a broad variety of transactional matters, including drafting and negotiation of commercial and real estate contracts, leading negotiations, advising on contract enforcement and disputes, providing risk mitigation strategies and contract maintenance and administration. The position will have significant interaction with management and will provide legal support on various business ventures, mergers and acquisitions, joint ventures, human resources matters, trademark/patent protection, risk management strategies, and more.Key ResponsibilitiesProvide hands-on legal advice regarding customer, supplier, and vendor negotiations, strategies, and contract risk mitigationDraft and negotiate commercial contracts with customers, suppliers, and vendorsAdvise on contract enforcement, disputes, terminations, and transitionsDraft and negotiate real estate contracts and leasesDevelop and maintain form documents to streamline transactions; collaborate with the business team to provide legal support for an efficient contracting processSupport and promote compliance of policies and proceduresPerform general ongoing business and corporate governance duties and responsibilitiesSupport merger and acquisition and joint venture activitiesIdentify and advise on legal and business risks associated with business opportunities, including compliance with applicable laws and regulationsProvide support to the Chief Legal Officer on the Company’s risk management strategiesProvide support on litigation matters by drafting and filing motions and pleadings where necessaryManage and maintain trademarks and patentsOversee outside counsel as neededDevelop a thorough understanding of and familiarity with the Company’s business, its people, markets, facilities, customers, and competitorsEducation & Professional ExperienceJuris Doctor Degree (Required)1-3 years professional experience (Required)Licensed to practice law in the State of Michigan (Required)Experience with contract drafting, review, and negotiation (Preferred)Experience with mergers and acquisitions (Preferred)Experience with non-Disclosure Agreements (Preferred)Experience with employment law (Preferred)Experience working in energy, sports, oil & gas industries (Preferred)Simon Group Holdings provides equal employment opportunities to all team members and applicants for employment without regard to race, color, religion, sex, national origin, age, disability, weight and height or military status, in accordance with applicable federal laws. #J-18808-Ljbffr
