Senior Legal Counsel
Vernon, BC (Hybrid)

Reporting to the General Counsel, the Senior Legal Counsel will be a vital strategic partner for our dynamic business team, offering insightful and practical legal guidance that aligns with our ambitious goals. This role encompasses a diverse portfolio of responsibilities, from steering strategic transactions and providing savvy commercial advisory services to overseeing intercompany legal affairs, cultivating franchisee relationships and handling corporate secretarial duties. Your expertise will be crucial in driving our business success, mitigating risks, and ensuring we navigate legal complexities with confidence and compliance.

We’re seeking someone with a minimum of 8-10 years of post-call experience in both top-tier law firms and corporate legal environments, preferably within medium to large complex organizations. You should hold a Juris Doctor (JD) or Bachelor of Laws (LLB) degree and be a member in good standing with the Law Society of B.C. or be able to transfer your membership from another Canadian Law Society.

How you will Impact our Business

Business Advisory

  • Provide strategic legal advice and draft, review, negotiate, and manage contracts for sales, services, suppliers, licenses, joint ventures, consulting, and franchises to support business operations and objectives.
  • Foster strong relationships with internal stakeholders to understand and anticipate business needs, providing proactive legal solutions.
  • Represent Kal Tire in negotiations and discussions with external parties, protecting the organization’s interests.
  • Manage relationships with external legal counsel, ensuring effective use of legal resources.

Strategic Support

  • Support the organization’s growth initiatives through mergers & acquisitions, including due diligence, negotiation, and integration activities and other transactional matters, ensuring compliance with relevant laws and regulations.
  • Manage legal entity management database and maintain corporate records.
  • Work with internal teams on tax planning and financing arrangements between entities and manage related legal matters and intercompany transactions.

Risk Management and Policy Development

  • Identify and assess legal risks, while developing and implementing strategies to manage such risks effectively across the organization.
  • Contribute to the development and implementation of organizational policies and procedures to ensure legal compliance and operational efficiency.
  • Provide training and guidance to team members on relevant legal issues and best practices.

The right candidate can demonstrate the ability to deconstruct complex issues and exercise good judgment in decision-making. They have a strong drive to learn, understand, and proactively contribute to business objectives while working collaboratively and creatively to support and enhance team efforts. This is a hybrid role based out of our head office in Vernon, BC and may be required to travel up to 10%.
