  • Review and manage fund documents (trust and LP structures), dealer agreements and portfolio management agreements
  • Prepare and file corporate and regulatory filings, including SEDAR+ filings
  • Maintain corporate records, including minute books, governance documents, contracts and filings
  • Attend and take minutes at board and trustee meetings
  • Track legal and regulatory deadlines to support ongoing compliance
  • Run contract management processes, including tracking, renewals and obligations
  • Review legal invoices from external counsel for accuracy
  • Coordinate with internal teams, external counsel, auditors and regulators
  • Prepare and proofread legal correspondence, memoranda and reports
  • Help maintain internal policies, procedures and legal frameworks
  • Keep sensitive legal, regulatory and business information strictly confidential

What We're Looking For

  • 8+ years of experience as a law clerk in a law firm or in-house legal team
  • Strong background in securities law and corporate law; investment funds or asset management experience is highly desirable
  • Experience with banks, asset managers or the investment management industry
  • Public company experience is an asset
  • Registered with the Institute of Law Clerks of Ontario (ILCO), preferred
  • Proficient with Litera Compare (blacklining) and document management tools
  • Able to draft and review complex documents with minimal supervision
  • Very organized and detail-oriented, able to work quickly and manage competing deadlines
  • Excellent writing, proofreading and communication skills
  • Sound judgment and discretion with confidential information
