Candidate will maintain the highest professional and ethical standards, have excellent time management, organization and decision-making abilities, be able to prioritize projects and deadlines, be collaborative and accountable while performing in a fast-paced and evolving environment.**Key Responsibilities:*** Prepare, review and negotiate complex commercial contracts.* Solve unique and complex commercial, legal and client regulatory issues with impact on the business unit or function and through conceptual and innovative thinking to develop solutions.* Review business practices and policies and advise management of potential risks and mitigations.* Analyze various legal and business issues, discuss with subject matter experts, and advise business leaders.* Support and advise business development and sales teams in creating and selling new products and services.* Evaluate matters which may have a major bearing on the conduct of our organization’s business.**Basic Skill Level Requirements:****Education and Experience:*** JD from an accredited law school and a member of the Ontario bar in good standing.* A minimum of 5 years’ experience as a corporate transactional lawyer or technology lawyer in a top tier law firm. In-house experience is a plus.* Strong contract drafting, negotiation and deal management experience. Experience with SaaS and other technology agreements is a plus.* Ability to manage complex deals independently.* Ability to anticipate internal and external business challenges and/or regulatory issues; recommend process, product or service improvements; solve unique and complex problems that have a broad impact on the business; contribute to the development of functional strategy; lead project teams to achieve milestones and objectives.* Familiarity with data privacy and laws and regulations related to data use highly desired.* Skilled at communicating, both verbally and in writing, with customers and at the senior leadership-level.* Skilled in the use of Microsoft Word and Outlook.* Ability to manage multiple tasks simultaneously within strict deadlines and with a high degree of accuracy.* Ability to participate as a member of a team, assisting in other projects as needed or as assigned.**Recruitment Process**Throughout your application process, you may be asked to connect with us virtually or in-person.
