Reporting to the Chief Financial Officer, the Senior Contracts Manager manages all customer and vendor contracts with the goal of balancing legal protections and contractual pragmatism. The ideal candidate will have honed their instincts on this need for balance with a legal background or experience in contract management of customer and vendor contracts involving SaaS, support, and professional services.

What you'll do:

  • Own the contracting process, including drafting, modification, and execution of new and renewal contracts, supported by discussions and influence across the Company with the relevant stakeholders.
  • Prepare and review all contract documentation, including non-disclosure agreements, master agreements, statements of work, renewals, amendments, etc.
  • Provide redlined recommendations on all contracts and negotiate directly with customers' legal counsel or purchasing staff until consensus has been reached.
  • As needed, provide guidance on contract matters to sales representatives, project managers or other operational staff, including training to new employees in contracting practices and procedures.
  • Develop and implement policies and procedures for contract management and administration.
  • Support the Finance team to ensure adherence to broader finance and risk requirements such as revenue recognition, pricing and discounting policies.
  • Work closely with Product and Marketing teams to ensure company products and services are offered with appropriate, competitive terms and conditions.
  • Support Risk Management and Finance teams to coordinate contractual insurance requirements.
  • Ensure timely communication of contract details with management and stakeholders to provide contract visibility, awareness and interpretation to support implementations.
  • Reconcile discrepancies related to contract invoices with Accounts Receivable.
  • Collaborate and coordinate with outside legal counsel when required.
  • Maintain complete and accurate contract files.
  • Update contract templates and generation of exhibits.
  • Various administrative and operational responsibilities as required.

What you bring:

  • Minimum of 7+ years' experience as counsel and/or contract management, preferably in the technology industry.
  • University or college degree in a related field
  • Experience negotiating software, cloud, SaaS, support, and professional services.
  • Excellent verbal and written communication skills, a strong attention to detail and possess excellent interpersonal skills to interact with employees at all levels.
  • Experience drafting and negotiating key contractual provisions including confidentiality, data protection/privacy and security, intellectual property, warranty, indemnity, limitations of liability, termination, service levels specifically in software licensing, SaaS and cloud agreements.
  • Ability to adhere to internal processes and work independently in a very fast-paced environment and provide organized execution of tasks under time constraints.
  • Must be able to manage a diverse workload in changing environments.
