Our client is a dynamic and innovative software company founded in the 2000's. As they continue to grow, they are seeking a talented and experienced In House Legal Counsel to join their team.


The successful candidate will be responsible for reducing risk and ensuring compliance with privacy, contracts, employment, and other relevant laws and regulations on a company-wide level. They will manage all contracts for our clients and vendors and serve as a trusted strategic partner by providing legal advice to support the growth of our company.


Key Responsibilities

  • Overseeing third-party contracts by examining terms, addressing potential issues, drafting and negotiating changes, ensuring compliance, and handling contract renewals.
  • Creating, reviewing, and administering corporate client contracts, ensuring adherence to terms, evaluating client-suggested amendments, and engaging in client discussions.
  • Serving as the Privacy Officer by evaluating privacy policies, ensuring compliance with regulatory standards, and addressing privacy-related complaints.
  • Keeping abreast of legislative changes, court rulings, and industry best practices to ensure the organization remains compliant with regulatory requirements.
  • Establishing and maintaining corporate compliance procedures and controls.
  • Designing and continually updating training materials to educate team members about regulatory, legal, and operational duties, as well as risk management protocols.
  • Offering legal advice with a focus on risk management to drive strategic decisions, and overseeing the drafting, review, and negotiation of diverse legal documents and agreements.


Qualifications

  • Member in good standing of a provincial Bar in Canada, preferably in Alberta.
  • A successful track record of at least 4 years of corporate legal experience, preferably in house
  • Experience with ESOP (Employee Stock Ownership Program) considered an asset.
