Role Overview:

The VP, Corporate Development and Capital Markets, is a leader of the corporate team and a leader within the broader Finance team. The VP will work closely closely with the Chief Financial Officer, Chief Executive Officer, Chief Operations Officer, Chief Commercial Officer, and the Board of Directors to support the Company's growth strategy.


Key Responsibilities

This VP is responsible for developing and executing major internal corporate initiatives such as business model and operation transformation. This position involves managing the pipeline for the deal flow, performing acquisition target research and prioritization, participating in due diligence, creating and maintaining valuation models and supporting documents, and supporting integration, when applicable. The position also has oversight for Capital Markets, and the Company Investment Portfolio to develop, grow and sustain a diverse portfolio of capital market assets by optimizing the capital stack to minimize cost of capital and maximize long-term free cash flow, by building relationships with financial partners and industry contacts.


Key responsibilities include:

  • Partners with CFO to deliver market outreach strategy and support call outs
  • Manages and leads team, while being hands-on and involved in the execution of key projects
  • Consistently tracks and procures deal flow, research and identify new opportunities
  • Monitors and tracks acquisition targets and potential joint ventures, including creating company profiles and synthesis
  • Owns, develops and maintains complex financial models which support management decisions to act upon corporate initiatives and acquisition targets. Performs forecasting, valuation and scenario analysis
  • Lead and integrates the Corporate teams to support post-close integration, as necessary, and play an active role in the post-close governance and monitoring of acquisition portfolio
  • Conducts research and collects information on customers, peers, and other counterparties using public information to assist in developing financial market forecast models and assessing business opportunities as required
  • Analyzes and models various international markets, historical performances and economic forecasts to determine feasibility of international financing and investment options or new opportunities
  • Studies global financial markets, currencies and exchange rates, and monitors economic trends to help support business decisions or work towards projects such as mergers and acquisitions analysis, valuations, etc.
  • Develops, maintains and enhances relationships with external financial partners such as lenders and banks
  • Understands the Company's various credit and debt facilities; makes recommendations on which facilities to use based on detailed knowledge of the agreements and financial understanding
  • Partners with corporate counsel to ensure credit facility terms, conditions, and covenants are satisfied
  • Performs financial analysis for debt lines and credit facilities; may help with other types of financial analysis (such as peer analysis)
  • Maintains sound working knowledge of assigned industry trends and characteristics, and awareness of current issues and developments
  • Understands and has knowledge of laws, policies, procedures and facts relevant to a loan syndication
  • Works closely with legal counsel to draft and document term sheets, credit agreements, investment agreements, subscription agreements, etc.
  • Conducts operational, regulatory, and financial due diligence, and prepare reports and presentations
  • Develop recommendations to manage risk within established guidelines
  • Prepares presentations to the board of directors, senior management, investors, lenders and banks
  • Runs corporate and asset deal analysis and supports conclusions by building cash flow models to evaluate key financial metrics and intangible aspects of potential deals
  • Provides data to support answers to questions about the corporate and deal models. Monitors performance indicators, highlighting trends, and analyzes causes of unexpected variances
  • Manages and mentors members of the Corporate Development and Capital Markets teams
  • Performs other duties as required


Professional Qualifications / Education and/or Competencies

  • Bachelor’s degree in business/economics from a recognized post-secondary education institution or MBA
  • Understanding of asset and corporate valuation
  • Minimum eight years of investment banking, corporate development or capital markets experience
  • Understanding of market analysis principles particularly as it relates to business/economics and international trade
  • Strong expertise in Excel for financial modeling and forecasting
  • Enjoys working with numbers, with a high degree of accuracy and is comfortable with large spreadsheets
  • Comfortable managing multiple work efforts with competing priorities under pressure with strict deadlines
  • Strong attention to detail and exacting standards
  • Strong research and analytical skills
  • Completed professional financial accreditation preferred (such as CA or CFA)
  • Excellent verbal and written communication skills, and strong writing style
  • Flexible work schedule to meet deadlines or accommodate time zone differences
  • Availability via a mobile device outside of office hours
  • Occasional international travel is required
