Job Profile:

Key Accountabilities and Responsibilities:

Portfolio Company Matters:

  • Support portfolio companies in contract review and negotiation, drafting and
editing for various business agreements including contracts related to:
customers, vendors, suppliers, manufacturers, product formulators and
distributors, sales partners, product collaborations, and other contracts
related to intellectual property, real estate, operations, supply chain and
product development.

  • Support portfolio companies with IP matters (e.g., ensuring appropriate
licenses for open-source software, obtaining of assignment agreements,
trademark registrations and renewals, etc.)
Support portfolio companies with regulatory compliance (e.g., HIPPA, CCPA,
GDPR, etc.)

  • Support the HR team with certain HR portfolio company matters (e.g.,
consulting agreements, commission agreements, sales rep agreements, etc.)
Support portfolio companies with disputes and litigation/arbitration matters
Manage, maintain, and update legal templates and facilitate their consistent
use across portfolio companies.

  • Assist in the implementation of Banyan wide policies across portfolio
companies

  • Manage insurance process (including yearly renewals)

M&A Matters:
Support the operating partners with post-diligence clean up matters as part
of the integration process including but not limited to:

  • Revising customer contract templates to address items identified in
due diligence

  • Assisting the company with entering into agreements (e.g., software
license agreements, maintenance and support agreements, etc.) with
customers who previously had no agreements

  • Implementing missing policies identified in due diligence
Obtaining and registering IP assignments with the appropriate
regulatory agencies
Supporting HR team with review of, and revisions to, (i) form
employment agreements and consulting agreements and (ii) employee
handbook and employee policies

  • Supporting HR in rectifying certain compliance lapses (e.g., wage and
rate notices, HIPAA, privacy, verification process, etc.)
Obtaining consents or providing notices, if needed

  • Addressing other issues identified during the legal due diligence
process

Job Requirements:

Education and Professional Skills/Knowledge:

  • B. or J.D. degree (or equivalent).
  • Good standing with a Canadian Law Society or U.S. state bar.
  • 46 years experience (both law firm and inhouse preferred)
  • Experience with technology/software companies and specifically with reviewing software license agreements, development agreements, RFPs with government, reseller agreements
  • Highenergy selfstarter and a team player with strong interpersonal skills.
  • Ability to thrive in a fastpaced entrepreneurial environment.
  • Excellent drafting and communications skills.
  • Strong organizational skills and ability to manage multiple highpriority projects and meet deadlines in a fastpaced environment.
  • Strong decisionmaking abilities, attention to detail, and ability to give executivelevel guidance in a timely manner.
