Key Responsibilities
  • Provide legal support for our business broadly including with respect to the structuring, reviewing, drafting, negotiating, and enforcing commercial agreements including: teaming agreements, JV agreements, project agreements, design-build agreements, design agreements and other subcontract agreements, NDAs, purchase orders and key vendor terms
  • Counseling business divisions on various subject matters including, but not limited to corporate commercial matters, tender process, procurement, construction risk mitigation, project delay, liens, payment delays, negligent work, defects, omissions, insurance coverage, bonds, warranties, guarantees and other financial securities.
  • Providing legal advice on complex construction, development and corporate matters including, Public-Private Partnerships (P3) Projects, Design Build Projects & Institutional and Residential Real Estate Developments.
  • Maintain knowledge of industry best practices and applicable legislation affecting operations.
  • Knowledge of the Construction Act (Ontario) and/or builders lien legislation in other Canadian provinces considered an asset.
  • Work with functional and project pursuit teams and leaders to communicate and implement risk management tools and assess and manage project risks.
  • Assist in the oversight of outside counsel as necessary.
  • Assist with preparing contract guides for project teams, summarizing key components of project contracts for use by non-legal operational staff.
  • Assist General Counsel in respect of all corporate governance, strategic initiatives and the like.
Key Qualifications/Requirements
  • Recognized Canadian law degree.
  • A current license to practice law in Ontario and member in good standing with the Law Society of Ontario.
  • 2-6 years of post-call experience at a well-respected law firm or in-house construction legal department.
  • Superior written and oral communication and interpersonal skills in complex and at times adversarial situations, with the ability to communicate effectively at all levels of the organization as well as the ability to establish rapport and credibility with stakeholders across the project team.
  • Sound judgement and legal reasoning, excellent analytical skills, and creativity in solving problems.
  • Demonstrated ability to develop strategies to succeed, present a clear plan to the client, and communicate instructions rigorously and precisely.
  • Demonstrated ability to work with multiple internal and external parties on large projects and operations.
  • Ability to work independently and apply good judgment in ambiguous situations.
  • Prior experience successfully operating in a fast paced, fluid, “build-it” environment.
