Aplin has partnered with our Calgary-based client to recruit an Internal Legal Counsel.
As Internal Legal Counsel, you will work closely with our General Counsel as well as the Implementation and Service team to draft, review, and negotiate a wide range of agreements, providing legal advice on a multitude of matters and conducting legal research to support business and client objectives.
Prepare agreements including intercompany agreements, co-ownership agreements for entities with dual ownership structures, and agency agreements for borrowing and credit facilities.
Draft termination agreements, such as agreements to terminate co-ownership arrangements in cases of policy cancellations.
Collaborate with clients and lender’s legal counsel to draft agreements on unique issues.
Review and advise on shareholder agreements to ensure compliance with legal requirements and protect the interests of the stakeholders.
Legal Memos:
Prepare planning memos, step memos, and transactional memos to provide clear and concise legal analysis on various matters.
Develop closing agendas to facilitate smooth transactional processes and ensure all legal requirements are met for the clients.
Legal Guidance and Creativity:
Provide directions and guidance on legal matters, drawing on your expertise and creativity to develop innovative solutions to complex issues.
Demonstrate a strong understanding of corporate law principles and the ability to apply legal concepts creatively to achieve business objectives.
Advise on complex legal matters with multiple stakeholders and provide clarification on legal language or specifications.
Negotiate settlement terms and guide management through litigation processes when required.
Review business, tax, and risk management strategies to identify and proactively advise on potential risks and opportunities.
BSc degree in Law or J.5-7 + years of experience working in corporate commercial law.
~ Strong drafting and negotiation skills, with the ability to prepare clear and comprehensive legal documents.
~ Proficiency in legal research and analysis, with a keen attention to detail.
~ Experience in tax and financing is considered an asset.
Teamwork/Collaboration—Working together to ensure a seamless experience for the customer, proactively sharing information, lending a hand when needed, and helping all team members improve.
Holistic Thinking & Judgment – Understanding how your efforts fit into the larger picture and making judgments that take into consideration the impact on the customer and business in addition to your immediate task.
