Chair, Board and Vice President, Governance and Strategy Organizational Description: Student Catalyst Gateway (SCG) is a purpose‑driven, tech‑enabled not‑for‑profit start‑up dedicated to reimagining the transition from education to employment for post‑secondary students, with a core focus on Indigenous, International, and Racialized learners. SCG provides personalized, culturally responsive, and affordable support services such as career coaching, interview preparation, immigration guidance, financial literacy, and well‑being counselling. By blending AI‑powered tools with human‑centred coaching, we deliver scalable, equity‑informed solutions such as our FutureProof eModules, wraparound counselling, and career readiness programming. Volunteer Opportunity Details Volunteer Opportunity ID: 6110 Description of Duties The Chair provides steady, values‑aligned governance leadership to ensure SCG’s board operates with integrity, clarity, and accountability. This role advances a high‑performing, future‑ready board while ensuring alignment with SCG’s mission, values, and long‑term strategic direction. The position also includes responsibilities as Board Secretary, ensuring compliance with the Canada Not‑for‑Profit Corporations Act (CNCA), maintaining accurate corporate and governance records, and supporting efficient board operations. Key Responsibilities Governance Leadership Lead and chair board meetings that are strategic, inclusive, well‑structured, and action‑oriented. Ensure clear decision‑making, transparent communication, and consistent engagement across the board. Support the development, maintenance, and annual review of SCG’s bylaws, governance framework, and board policies. Uphold fiduciary, legal, and ethical oversight responsibilities. Guide the organization’s annual strategic planning cycle and ensure alignment with SCG’s three pillars. Ensure board decisions reflect SCG’s multiyear growth plan and hybrid nonprofit model implementation timeline. Provide strategic guidance across key work streams, including partnerships, funding, programs, governance, and risk oversight. Strategy and Organizational Alignment Provide strategic leadership to ensure SCG’s governance, programming, partnerships, and organizational direction consistently align with the mission and long‑term vision. Lead the annual strategy‑setting process and ensure alignment with SCG’s three‑pillar framework: Access and Equity; Collaboration and Capacity; Innovation and Impact. Support the Executive Director and leadership team in translating strategic priorities into milestones, implementation plans, and governance checkpoints. Ensure board decisions reinforce SCG’s multiyear growth plan, including expansion to additional campuses, strengthened employer partnerships, integration of the nonprofit model, and multi‑year funding, sustainability and capacity planning. Provide strategic oversight across major work streams (partnerships, funding, programs, AI‑enhanced eModules, risk, governance) to ensure alignment with SCG’s values and forward momentum. Board Secretary Responsibilities Maintain accurate board records, resolutions, minutes, and corporate filings. Support board material preparation and distribution and annual calendars. Ensure compliance with CNCA requirements and governance timelines. Operational Oversight (Non‑Managerial) Provide high‑level oversight of organization work streams while respecting staff and volunteer leadership roles. Collaborate with the Executive Director on implementation, risk identification, and accountability. Support development of the annual board work plan, evaluation cycles, and governance audits. Leadership & Board Development Mentor and support Vice Presidents, subcommittee chairs, and emerging governance leaders. Support recruitment, onboarding and succession planning for future board roles. Represent SCG externally when required in alignment with the Executive Director. Oversight Responsibilities Lead the Governance and Policy Subcommittee (3‑5 members). Convene bimonthly subcommittee meetings focused on policy review, bylaws, board development and governance priorities. Provide quarterly governance updates to the full board and support board readiness for audits, funding reviews and compliance checks. Time Commitment First six months: ~10 hours per month. Ongoing: 2–4 hours per month. Board meetings: Quarterly. Subcommittee meetings: Bimonthly. Additional commitment may be required during policy reviews, strategic planning cycles or leadership onboarding. Ideal Candidate An established leader with demonstrated experience in governance, board leadership, public policy, organizational development or risk management. Values clear communication, inclusive leadership and transparent decision‑making. Analytical thinker capable of supporting SCG’s evolution into a multi‑campus, multi‑partner organization, grounding decisions in equity, student impact and long‑term sustainability.
