Job Overview
The corporate secretary is responsible for ensuring the integrity of the governance framework, managing compliance with legal and regulatory requirements, and facilitating the efficient administration of the company's board of directors.
We are seeking a highly organized and detail-oriented person. The ideal candidate will provide essential administrative support, manage front desk operations, and ensure smooth communication within the office. This role requires proficiency in office software, excellent customer service skills, and the ability to handle multiple tasks efficiently. Prior experience in lawyer firm or Public trading company is a plus, along with strong clerical and organizational abilities.
Responsibilities
- Manage front desk operations, including greeting visitors and directing inquiries
- Working with accounting to mange filing systems both electronically and physically to ensure easy retrieval of documents
- Proofread correspondence, forms, and reports for accuracy and clarity
- Handle administrative duties such as photocopying, scanning, and organizing documents
- Administrative Duties:
- Meeting Management: Planning and coordinating all logistics for board, committee, and shareholder meetings, including scheduling, preparing agendas, and distributing materials.
Managerial & Advisory Duties:
- Governance Advisor: Providing expert guidance and advice to the board of directors and senior management on corporate governance best practices, their roles, responsibilities, and legal obligations.
- Record Keeping: Attending meetings to take accurate and comprehensive minutes, which serve as the official legal record of decisions and discussions. The corporate secretary also maintains and organizes all crucial corporate records and documents, such as bylaws, contracts, and stock ledgers.
- Filings and Reporting: Overseeing the preparation and timely filing of required corporate documents and reports with government agencies and regulatory bodies (e.g., annual reports, proxy statements).
- Liaison: Serving as the primary point of contact between the board, management, shareholders, and external stakeholders like auditors, lawyers, and regulators.
Skills
- Proficiency in Microsoft Office Suite (Word, Excel, Outlook) and Google Workspace applications and quick books.
- Excellent organizational skills with the ability to manage multiple priorities effectively
- Ability to proofread documents thoroughly for errors and clarity
- Knowledge of public company filing and Sedar filing.
