Role Description

This full-time hybrid role for a Securities Attorney with 3–5 years of experience is based in our Toronto, ON office. The individual will provide legal counsel on securities law matters, including assisting clients with capital raising, drafting prospectuses, listing statements etc., IPOs, regulatory compliance, and corporate governance. Responsibilities include conducting research, drafting legal documents, negotiating agreements, and advising on complex transactions such as M&A and private equity deals. While some in-office presence in Toronto is required, this role also allows for remote work opportunities.

Qualifications

  • Strong background in law, with a focus on securities and business law
  • Proficiency in delivering legal advice and conducting thorough legal research
  • Experience in labor and employment law for comprehensive corporate counsel services
  • Skilled in negotiation and contract drafting for transactions such as M&As and equity or debt financings
  • Proactive problem-solving, excellent communication and interpersonal skills
  • Licensed to practice law in Ontario; additional qualifications in other jurisdictions are a plus
  • Experience working with clients in industries such as mining, oil & gas, cannabis, or technology is an asset
