We are on the lookout for a full-time Corporate Clerk to immediately join our growing team
The person in this role will be a critical part of our team and the way we deliver excellence to our clients. They will be involved in, and have exposure to, all of the corporate legal work we do at our firm - from the more routine to the very complex.
While they’ll start with much support, training and mentorship, our hope would be to see them take leadership in their areas of responsibility over the years to come.
This is role is **in-person** at our office downtown Vancouver, and is not available remote.

Prior experience at a law firm is not required. In fact, most of our support staff joined without any prior experience. We are committed to training you and providing you all that you need to excel in this role if you have the character described above.

**What Kind of Work You’ll Do**
You will the primary person at our firm responsible for organizing, managing, and maintaining the corporate records for the companies we represent.
Corporate records are established by a company when it is incorporated, and grow extensively over the life of a business. They’re required for routine events (like annual general meetings of the shareholders) and at major events or transactions (like a significant venture capital financing or acquisition).
Most of the work we do as a firm in some way touches corporate records or results in the generation of new corporate records.
With a team of 10 all working on various projects and companies at any given time, we need someone who can consistently stand in the middle of all that work and help to ensure we are managing the workflows involved with corporate records - from drafting, to signature collection, to processing and finalization.
We need someone who can learn our systems and processes, but then eventually lead us in our push to be 100% digital and cloud based in all we do.
You will be working closely with our Senior Paralegal, Legal Assistants and Articling Students, and you will be involved in the work that all of our lawyers are doing as well.
- **Examples of duties**:_
- Managing corporate records, including maintenance of minute books and the corporate entity database
- Create and organize digital minute books, and the corporate documents included
- Manage and oversee the development of corporate minute books through routine and special events
- Digitize legacy physical corporate minute books
- Organize and improve document management systems
- Support lawyers who are conducting major transactions by ensuring documents are proof-read for accuracy, documents remain organized, documents are fully processed, and transaction is closed with all administrative duties fulfilled
- Conduct corporate record reviews and audits
- Tracking, preparing and completing annual maintenance requirements
- Filing registry documents (BC, Ontario, Federal )
- Collect and track electronic signatures
- Securely handle and maintain confidential and sensitive documents
- Communicate with clients and their shareholders on matters relating to corporate records

Salary will be commensurate with experience.
