We are seeking a Corporate Paralegal with a passion for corporate law and contracts management to join our growing Legal & Governance team. This is a newly created role and a chance to bring your prior private practice experience to a fast paced and dynamic environment.
Reporting to the Vice President, Legal and Governance, you will primarily be responsible for developing and maintaining the contract lifecycle management system, which may include tracking terms for agreements, renewal dates etc. and making recommendations to improve the system. You will work closely with our Operations team to support contracting negotiations and renewals, maintain and continuously improve contract administration processes, including providing training on the process and best practices to end users.
In addition to the above, your core duties will include:
- Supporting legal counsel to draft, review and assist in negotiating agreements for contracting partners
- Managing record retention systems and processes, and making recommendations to improve and streamline processes
- Updating company standard forms and templates, and maintaining a precedent database
- Supporting access to information requests under the Freedom of Information and Protection of Privacy Act, BC (FIPPA) or other applicable legislation, with legal counsel and the Vice President, Legal and Governance
- Managing and maintaining record keeping for all company records, including maintaining and updating the company’s minute books
- Assisting in preparing annual filings, resolutions and other documents, as needed, including annual shareholder resolutions and officer certificates
- Attending to the review and analysis of corporate minute book records and recommending the appropriate course of action to update records and rectify deficiencies, including drafting the required documentation.
**WHAT YOU BRING**:
- Minimum 5 years’ experience in contracts administration or as a paralegal, ideally in a private practice environment
- Completion of a Paralegal or Legal Assistant Diploma is highly desirable, or a combination of education and experience
- Experience drafting standard form commercial agreements
- Experience with corporate filings including reviewing, analyzing, summarizing, updating and maintaining minute books and corporate records
- Solid knowledge of Canadian corporate law and governance requirements
- Outstanding interpersonal, verbal and written English communication skills, with the ability to communicate with all levels of the organization including Senior management
- Excellent organizational skills and attention to detail
- Ability to meet critical deadlines and establish and maintain working relationships with internal and external stakeholders
- Ability to take initiative, prioritize, work independently and thrive in a fast-paced, professional team environment
- Possesses excellent research and analytical skills, exercising good judgment, accuracy, and a strong attention to detail and the ability to follow-up
- Capable of managing multiple files concurrently and proven ability to work effectively under pressure.
**SECURITY REQUIREMENTS**:
As a condition of employment at E-Comm, the required Police Security Clearance applicable to the position must be acquired and maintained. This is a process carried out by our law enforcement partner agencies, facilitated by E-Comm. The minimum residency in Canada to qualify for this position, as established by our law enforcement partner agencies, is 5 years.

**Vaccination Policy**:E-Comm 911 has a vaccination policy that is currently suspended. However, should the policy be reinstated, it will be a requirement for all current and future employees.
