Job Title: Law Clerk - Corporate Governance

Brookfield Asset Management is seeking a highly skilled Law Clerk to join our Corporate Governance team. As a key member of our team, you will be responsible for providing administrative support to our lawyers and other stakeholders.

Key Responsibilities:
  • Manage corporate records, including minute books and entity databases
  • Prepare documents for entity formation and dissolution
  • File annual returns in Canada and the U.S. and draft minutes/resolutions
  • Prepare organizational resolutions, bylaws, and other constating documents
  • Perform corporate searches and online registrations
  • File securities regulatory filings for public companies on SEDAR, EDGAR, and TSX
  • Draft and review legal documents and resolutions
  • Liaise with internal and external counsel and tax groups
  • Prepare officer certificates and notarial certificates
  • Document flows of funds and transfers of interests
  • Assist with corporate disclosure, compliance activities, and regulatory filings
  • Support treasury team with bank account opening and KYC requests
Requirements:
  • Diploma from a recognized Ontario Law Clerk program or qualifying legal experience
  • Experience in a law firm or in-house legal department of a large public company an asset
  • Comfortable with SEDI, SEDAR, EDGAR, and TSX filings
  • Familiar with Canadian and provincial corporate registry online and paper filings and searches
  • Professional and accountable with excellent communication and organizational skills
  • Ability to work independently and as part of a team
