Job Summary

We are seeking a highly experienced and skilled Senior Corporate Attorney to join our team at IKO North America as our Director of Legal Affairs. This is a key leadership role where you will oversee all legal matters, provide expert advice to senior management, and ensure compliance with laws and regulations.

About the Role

This permanent full-time position is based in Yorkdale-Toronto. As our ideal candidate, you will have a Juris Doctorate (JD) degree, be admitted as a notary public, and possess 8-10 years of commercial real estate and general corporate/commercial experience. You will be licensed with the Law Society of Ontario and have strong experience in real estate law and industry knowledge that includes litigation, lease transactions, property management, and purchase and sale transactions.

Key Responsibilities
  • Draft and review various commercial agreements, including supply, joint venture, procurement, nondisclosure, construction, service, warranty, and terms of sales agreements.
  • Advise clients regarding incorporation and corporate organizational documents for federal and various provincial corporations.
  • Advise clients regarding various corporate, partnership, limited partnership, and other corporate structures.
  • Draft legal documentation to implement various tax reorganization structures.
  • Advise clients regarding various types of corporate and commercial transactions, including acquisitions (share and assets), joint ventures, partnerships, and dissolutions.
  • Work with external counsel on any pre-litigation research and preparation.
  • Pioneer the legal team and its practices in an ever-growing environment.
  • Provide legal and contractual risk management support for all stages of business projects, including reviewing, commenting, drafting, and assisting in the preparation and negotiation of project contracts.
  • Represent clients in negotiations, mediations, hearings, and trials, both domestically and internationally, while maintaining the highest standards of professionalism and ethical conduct.
  • Resolve commercial disputes, mediations, arbitrations, litigations, and administrative proceedings by drafting position statements, supervising discovery, and negotiating settlement agreements.
  • Handle all legal aspects of commercial real estate purchases and sales, including reviewing title searches, preparing, reviewing, and amending closing documentation.
Requirements
  • Juris Doctorate (JD) degree (essential).
  • Admitted as a notary public (essential).
  • 8-10 years of commercial real estate and general corporate/commercial experience.
  • Licensed with the Law Society of Ontario.
  • Strong experience in real estate law and industry knowledge that includes litigation, lease transactions, property management, and purchase and sale transactions.
  • Analytical thinker with strong conceptual and research skills.
  • Excellent negotiation, communication, and analytical skills.
