Senior Corporate Commercial Law Clerk

We are seeking a highly skilled and experienced Senior Corporate Commercial Law Clerk to join our team at Linds & Associates.

Key Responsibilities:

  • Assist lawyers with Ontario and Federal filings, including incorporations, registrations, reorganizations, amalgamations, continuances, and dissolutions of corporations.
  • Maintain corporation minute books, including preparation of resolutions, updating of registers and ledgers, preparation of share certificates, as required.
  • Identify deficiencies in corporate records and rectify them.
  • Conduct due diligence searches and analyze the results.
  • Work with lawyers to prepare commercial agreements, such as asset and share purchase agreements, and closing documents related to same.
  • Work with lawyers to prepare loan agreements, promissory notes, general security agreements, asset or share rollover agreements, and shareholders' agreements.

Requirements:

  • 8+ years of experience in corporate commercial law.
  • Proficient in Microsoft365 (Outlook, Word, Teams, PowerPoint).
  • Strong organizational skills, with the ability to work efficiently while managing multiple priorities.
  • Effective verbal and written communication skills.
  • Strong time management and multi-tasking skills.

Preferred Skills:

  • Experience with tax-motivated transactions.
