Senior Legal Counsel

Ready Capital Corporation, a $2.5 billion public commercial Mortgage REIT, is seeking a Senior Legal Counsel to join its team. This role will report to the CFO and have a dotted line to Waterfall Asset Management General Counsel.

Key Responsibilities:
  • Manage the legal framework for Ready Capital Corporation, working closely with leadership, including the CEO, CFO, COO, and Head of Credit, as well as Waterfall General Counsel and Contract Finance team.
  • Oversee processes related to filings and disclosure for public/NYSE-listed companies.
  • Draft and negotiate commercial agreements with counterparties, vendors, and service providers.
  • Provide ongoing counsel on intellectual property, trademarks, data protection and security, labor and employment, and general corporate matters.
  • Provide ongoing counsel on regulatory compliance matters, including with respect to the '34 Act and '40 Act.
  • Respond to and provide advice on company litigation.
  • Manage M&A transaction and diligence activity in conjunction with outside counsel.
  • Assist with documentation of company governance matters and legal entity maintenance.
  • Assist the Firm in the creation and maintenance of policies and procedures.
  • Manage external counsel.
Requirements:
  • A minimum of 6 years practicing in a law firm, preferably in a corporate practice.
  • Experience counseling public companies.
  • Strong organizational skills and ability to manage multiple time-sensitive matters in a demanding, fast-paced and fluid environment.
  • A business and solution-oriented approach to interacting and working with clients.
  • Excellent oral and written communication and presentation skills.
