As a leading player in the dental sector, 123Dentist is now seeking an experienced Corporate Legal Counsel to join its high-performing Legal Department at our Head Office in Toronto. Reporting directly to the Vice President and General Counsel, this successful candidate will collaborate closely with the corporate development team to draft and negotiate transaction documents for new acquisitions, manage the legal aspects of our acquisition pipeline, and provide general legal support to 123Dentist and its rapidly expanding countrywide network of dental practices.

Position Summary:

  • This position demands a skilled attorney with 3 to 5 years of broad corporate/commercial experience gained at a prominent law firm or corporation, including M&A expertise. Strong communication, drafting, and negotiating skills, as well as being a team player with sound business acumen, are essential characteristics required for success in this role.
  • A strong desire to learn and broaden their skillset, along with a demonstrably strong client service orientation, are critical components needed to excel in this position.

Responsibilities:

  1. Draft, negotiate, review, and revise purchase agreements, employment contracts, leases, and other acquisition-related documents.
  2. Assist in managing the legal aspects of the deal process for our robust acquisition pipeline, including coordination with outside counsel, opposing counsel, and the company's corporate development deal team to ensure timely completion of deals and efficient task execution.
  3. Coordinate corporate law matters, such as share subscriptions and purchases, and corporate resolutions.
  4. Provide general legal support to the company and its network of dental clinics, encompassing the Operations, Corporate Development, Business Development, Human Resources, and Finance Departments.

Qualifications:

  • Bachelor's degree and JD/LLB.
  • Membership in good standing with the Law Society of Ontario (or another Provincial equivalent).
  • 3 to 5 years of solid mergers and acquisitions experience gained at a respected law firm.
  • Proven familiarity with various legal disciplines, such as commercial contracting, employment law, real estate, tax, litigation, and regulatory matters.
  • Demonstrated experience in negotiating and closing complex corporate transactions and conducting due diligence.
  • Understands the role the legal function can play in supporting business objectives.
  • Ability to analyze commercial, business, and risk issues through a legal lens.
  • Strong drafting, communication, analytical, and organizational skills.
  • Excellent attention to detail with minimal reviewing required.
  • An independent self-starter who can hit the ground running with minimal supervision.
  • Thrives in a small team environment.
  • Highly driven, with a natural bias to action.
  • Thinks sharply under pressure and is comfortable owning a transaction end-to-end.
  • Experience in a fast-paced, high-deal flow environment and comfort practicing law in French would be significant assets.
