Job Title: Legal Counsel, Corporate Secretarial

We are seeking a highly skilled and experienced Legal Counsel to join our Corporate Secretarial team at TC Energy Corp. As a key member of our in-house legal team, you will play a critical role in providing legal support and guidance to our business units.

About the Role

This is an exciting opportunity for a junior lawyer to join our team and contribute to the provision of high-quality legal services to TC Energy, its subsidiaries, and affiliates. You will work closely with our lawyers and legal support team to provide legal support and representation on corporate matters, including drafting documents, reviewing securities filings, and providing legal advice.

Key Responsibilities
  • Provide legal support and representation on corporate matters, including drafting documents, reviewing securities filings, and providing legal advice.
  • Draft or review credit facilities and loan agreements.
  • Assist in the development, execution, and interpretation of corporate policies.
  • Provide legal support and representation on corporate governance matters, including preparation of minutes and resolutions.
  • Assist in the review and negotiation of documentation related to public offerings and private placements.
Requirements
  • Law degree with at least three directly relevant post-articling experience gained at a national law firm, major financial institution, or public company.
  • Membership in a Canadian law society (preferably Alberta).
  • Proven ability to manage multiple competing priorities within tight timeframes.
  • Familiarity with securities laws and the rules of the TSX and the NYSE.
  • Detail-oriented with excellent writing, legal research, analytical, and communication skills.
