About the Opportunity

Forge Recruitment is seeking a highly skilled Securities Law Clerk to join a leading international law firm in Toronto.

Key Responsibilities
  • Prepare and file documents on SEDAR+ at the request of lawyers and clients, ensuring timely and accurate submissions.
  • Develop and maintain insider profiles and reports on the System for Electronic Disclosure by Insiders (SEDI), adhering to regulatory requirements.
  • Prepare NRD investment fund manager/dealer/adviser registration documents, ensuring compliance with relevant laws and regulations.
  • Manage annual filings and prepare exempt firm and registrant filings, maintaining accurate records and meeting deadlines.
  • Conduct thorough searches of public company and investment fund information on SEDAR+, providing valuable insights to clients and lawyers.
  • Prepare continuous disclosure and other prescribed securities-related documents, ensuring adherence to regulatory guidelines.
  • Disseminate press releases, maintaining a professional and timely communication channel.
  • Prepare and file documents with the Toronto Stock Exchange (TSX) via TMX Linx, the TSX Venture Exchange, and the Canadian Securities Exchange, ensuring seamless transactions.
  • Prepare and file reports of exempt distribution in respect of private placements, maintaining accurate records and meeting regulatory requirements.
  • Develop and prepare draft material contracts and more routine closing documents, providing valuable support to lawyers and clients.
  • Perform all other related tasks, ensuring a high level of professionalism and attention to detail.
Requirements
  • Minimum of five years of experience as a Securities Law Clerk, with a strong understanding of regulatory requirements.
  • Graduate of a Law Clerk or Paralegal diploma, with a focus on securities law and regulations.
  • Extensive experience with SEDAR+, SEDI, NRD, Westlaw, and Avantis, with a strong understanding of their functionalities.
  • Knowledge of legal and technical procedures, statutes, regulations, and governmental practices applicable to the securities area, with a strong emphasis on compliance.
  • Strong organizational and interpersonal skills, with the ability to work effectively in a team environment.
  • Prior experience with Desksite, IntApp Time, or similar document management and timekeeping software, with a strong understanding of their capabilities.
