Legal Advisor in Mining Operations

Position Overview:

We are looking for a skilled Legal Advisor to enhance our in-house legal team. This role will focus on supporting the legal department in various corporate and commercial activities.

Key Responsibilities:

  • Provide timely and effective legal counsel to management and the board of directors.
  • Review, draft, and negotiate a diverse array of contracts, including non-disclosure agreements, joint venture agreements, and commercial contracts.
  • Advise on contract interpretation, negotiation strategies, and compliance with legal standards.
  • Assist in the preparation and evaluation of essential disclosure documents, such as annual information forms and financial statements.
  • Support corporate governance initiatives, including policy drafting and research.
  • Engage in general corporate matters, liaising with legal counsel across various jurisdictions.
  • Conduct due diligence and assist in transaction documentation.
  • Stay informed on legal developments that may impact the company, particularly in Canadian and US corporate and securities laws.
  • Prepare general corporate documents, including resolutions and by-laws.

Qualifications:

  • LLB or Juris Doctorate with membership in good standing of the Law Society of British Columbia.
  • 3-5 years of post-call experience in private practice, with a focus on corporate, commercial, and securities law.
  • Experience in governance and commercial matters, preferably within the mining sector.
  • Advanced understanding of public company regulatory requirements.
  • Proficiency in Microsoft Word, PowerPoint, and other relevant software.
  • Knowledge of Spanish and/or Portuguese is advantageous but not mandatory.
  • Experience in mining law and related industries is preferred.
