**Description**:
A strategic business partner who contributes to the development of the Board and community management framework and priorities by leveraging best in class governance processes. Directs and manages the activities of GS1 Canada’s Board Governance by planning, guiding and managing meetings of GS1 Canada’s Boards, Councils, Committees, and work groups. Manages, prepares and oversees agenda setting, meeting and material preparation, minute-preparation, and follow-up activities. This role ensures corporate compliance with GS1 Canada’s by-laws, with established board governances policies and practices.

**Key Responsibilities**:
**Directs GS1 Canada’s governance model and is a strategic business partner to internal stakeholders on assigned Boards, Committees and community groups to meet annual strategic objectives.**
- Directing governance operations, including Board, Committee, and community group meetings, ensuring compliance with GS1 Canada’s anti-competition policy and governance practices ;
- Building and maintaining trusted relationships with stakeholders, consultants, and internal departments for effective meeting management and alignment with strategic objectives ;
- As a business partner, working with business owners to:

- align governance structure and composition to the organizational strategic direction ;
- prepare for board meetings, including establishment of meeting outcomes, tracking action items from meetings and communication with other departments, if necessary ;
- Planning and managing processes for presenting issues to the Board, setting deliverable processes and timelines, and managing distribution of meeting materials and communications ;
- Acting as the Corporate Secretary at assigned meetings, producing accurate and timely minutes, and facilitating internal meeting preparations ;
- Developing change plans and communications for new governance practices, and enhancing Board onboarding, orientation, and education programs.

**Directs, develops and maintains GS1 Canada’s board and corporate governance practices including**:

- Annual corporate filings ;
- Policies and mandates ;
- Researches trends in the field of board governance and recommends changes in procedures, practices and approaches to enhance governance and board management.

**Managing administrative tasks related to Board, Committee, and work group composition, and maintaining reference materials and communication platforms.

- **Meeting Execution**: Delivery of well planned and executed hybrid meetings, including post meeting materials
- **Stakeholder Management**:Development and maintenance of relationships with stakeholders at the Board, Committee and Work Group levels and in the meeting process. Model and drive best practice for all work streams.
- **Strong Communicator**:Strong communication written and verbal to effectively share recommendations to internal senior stakeholders and to develop concise board written communications.
- **Discipline**, a high degree of self-direction and familiarity with management, Board processes, and with the operational mandates of Not-for-Profit organizations (NPO) and how NPO’s conduct business at the most senior levels.
