If you're excited to shape the future, contribute to an energetic company culture, and work at the cutting edge of blockchain technology, we want you to join our team and help us lead the charge About the opportunity We’re looking for a motivated and detail‑oriented Corporate Law Clerk to join the Figment legal team You’ll support our Legal and Regulatory group by preparing and reviewing corporate documents, managing global corporate records and minute books, assisting with due diligence, and supporting various transactions. This role offers plenty of independence and responsibility. This is a hybrid role with 4 days remote, and 1 day in‑office at our Liberty Village office. How you will make an impact Drafts a variety of corporate documents from precedents and/or professional direction, including resolutions, minutes, share certificates, officer’s certificates, registers, ledgers, and other documentation, in accordance with applicable legislation and governing regulations. Prepares and files corporate documents with relevant government authorities across multiple jurisdictions (provincial, federal, and international with assistance from foreign counsel). Manages and maintains corporate records and minute books for the company and its global subsidiaries, ensuring compliance with local laws and corporate governance standards, and is able to review minute books for deficiencies. Conducts corporate due diligence, including reviewing and summarizing corporate records, and completing due diligence questionnaires. Tracks and monitors critical corporate filing deadlines and ensures all filings are completed accurately and on time. Manages company insurance, overseeing policies and ensuring compliance with all deadlines and requirements. Coordinates and supports closings for mergers, acquisitions, financings, and other corporate transactions, including preparing closing agendas, checklists, and post‑closing documentation as needed. Liaises with opposing counsel, external advisors, and government agencies to obtain and provide information as directed. Initiates follow‑up actions and correspondence as required. Prepares reports and summaries for internal use. Any other duties as required. What you bring to the team 5–8 years of experience as a Corporate Law Clerk, preferably in a law firm or corporate legal department. Strong knowledge of corporate law matters, including, corporate governance, and entity management. Experience maintaining minute books and managing corporate records. Knowledge of corporate legislation and regulations, including the Canada Business Corporations Act, Ontario Business Corporations Act. Experienced in collaborating with external counsel to maintain and coordinate minute books for entities across global jurisdictions. Proficient in completing due diligence questionnaires and managing corporate compliance documentation. Comfortable working independently and managing multiple priorities. Skilled in Microsoft Office, Google Docs and corporate databases (e.g., Athennian, MinuteBox). Exceptional attention to detail and communication skills. Law Clerk/Paralegal or Legal Assistant Diploma/Certificate preferred. Compensation One of Figment’s core principles is “Making the Invisible Visible” - ensuring transparency and information sharing in all communication. Figment is committed to transparency regarding pay, benefits, and other compensation types for all internal roles as well as all roles being hired for. Base Salary: The base salary range for this position is CAD $100,000 - $130,000. This range reflects base salary only, and does not include additional compensation or benefits. For candidates in other countries, the pay range will be disclosed upon your first interview with Figment (being a globally remote company, the list of salary ranges would simply be too long to note here). The range displayed reflects the minimum and maximum range for a new hire across all Canada or the US. A candidate’s specific pay within the range will be determined by various factors including job‑related skills, relevant education, and training.
