General Accountability The Corporate Counsel provides broad legal support across the organization, with primary and dominant responsibility for contract law, commercial contracting, and the full lifecycle management of sales and corporate agreements. The role supports governance, compliance, and other legal matters as required. Duties and Responsibilities Oversee the negotiation, structuring, drafting, and administration of contractual documents that establish business relationships with vendors, customers, distributors, and partners. Review and approve contractual terms to ensure the company’s contractual position is protected, risks are appropriately managed, and internal policies are followed. Advise management oncontractual rights and obligations, including interpretation of terms, remedies, liabilities, and limitations. Ensure all agreements comply with healthcare and medical device regulations (e.g., FDA, Health Canada, EU MDR). Review and negotiate terms related to pricing, delivery, warranties, indemnities, intellectual property, confidentiality, and product use. Maintain an organized contract repository and oversee efficient contract lifecycle management. Collaborate with external counsel on complex or high-risk commercial matters. Support commercial teams in developing templates, negotiating playbooks, and processes that improve contract efficiency. Provide guidance on contractual risks throughout the sales lifecycle. Engage regularly with internal stakeholders and corresponding external legal counsel through calls, emails, virtual meetings, and in-person sessions, including travel as required across global regions. Support corporate governance, including drafting and maintaining board and committee documentation and corporate filings. Provide guidance on compliance with regulatory, ethical, and legal obligations across business functions. Monitor legal developments affecting corporate, commercial, and regulatory risk. Operate effectively in a fast-paced environment with responsibilities spanning North America, EMEA, LATAM, and APAC. Provide legal interpretation and guidance on employment contracts, policy drafting, regulatory compliance, and terminations. Assist with litigation, regulatory matters, audits, and investigations in collaboration with external counsel as needed. Contribute to internal policy development and risk mitigation initiatives across departments. Education Juris Doctor (JD) or equivalent law degree Licensed to practice law in Canada or the United States, with experience providing legal support in a global context preferred. Key Attributes (experience, skills and technical knowledge) 3 - 6 years of corporate legal experience, ideally in-house in the medical device, pharmaceutical, or healthcare sector. Experience in drafting, negotiating, and managing commercial and sales contracts. Exposure to employment law, policies, and corporate governance matters. Knowledge of regulatory frameworks relevant to medical devices. Strong analytical, communication, and problem-solving skills. Ability to work independently and collaborate across multiple business functions. This is a broad, mid-level legal role designed to provide flexible support across commercial, regulatory, employment, corporate, and compliance areas.
