We are looking to grow our team in Calgary, AB, with a deeply capable Manager.Our team helps buyers, sellers, private equity investors, and lenders in developing and executing on their M&A strategies. As trusted advisors to our clients, we keep in regular dialogue with the CEO, CFO, Principals, and other primary decision makers to keep them well consulted through the deal lifecycle.We offer our clients start-to-finish support in the acquisition/disposition process, including coordination and implementation of financial due diligence investigations, input on strategy, identification and mitigation of risk areas, and input and advice on contract terms geared to reduce risks. We also assist our clients with a host of services to help close the transaction and prepare for post-deal integration.What You Will DoAs a Manager within our Transaction Services team, you will lead multi-disciplinary projects to deliver tailored M&A advisory services. Your responsibilities include:Manage financial due diligence engagements and provide M&A transaction support and advisory services to our clients;Prepare and deliver “Quality of Earnings” analysis;Advise your clients on Target Working Capital for deal closing purposes;Identify debt-like items, advise on deal closing mechanisms;Interpret and analyze information memoranda, business plans, publicly available information on the target business;Review and analyze historical trading, cash flow, capital expenditure, forecasts and underlying assumptions; andReport potential key issues for our clients including identification of risk or price factors impacting investment decisions.Deal AdvisoryReview share/asset purchase agreements and financial models to reflect findings of the due diligence process.Leadership & MentorshipTraining and mentoring junior team members to foster technical excellence and career development.Client engagement & service excellenceDeliver exceptional client service by maximizing results and driving high performance from people, while also fostering collaboration across businesses and borders;Deliver verbal and written key issues summaries for our clients including identification of risk or price factors impacting investment decisions;Influence clients, teams and individuals positively, leading by example and establishing confident relationships as a representative of KPMG Deal Advisory; andUnderstand key objectives for clients and KPMG and align people to them to set appropriate priorities and direction.What You Bring To The RoleMust have an accounting professional designation (i.e. CPA); progress toward a CBV or CFA designation is an asset,2+ years of experience within transaction services and 4+ years of total accounting/finance experience in a consulting and/or corporate environment including:Financial due diligence or M&A analysis and report writing experienceAbility to identify issues and factors impacting valuationsFinancial statement interpretation and analysis, including an understanding of multiple accounting frameworks (i.e. IFRS, US GAAP experience)Professional presentation and report writing capabilities to develop proposals and deliverables, communicating findings concisely and effectively;Demonstrated excellence in project management and client deliverables, including experience in managing engagement cycles, team performance, and client outcomes;A proven track record in diagnosing project issues, developing solutions, and managing stakeholder expectations;Proficient in advanced Microsoft Excel functionalities, including creating dynamic FDD databooks using complex formulas, leveraging Power Query for data transformation, designing pivot tables for financial analysis, and automating workflows using VBA macros; andAdditional experience in corporate development, financial modeling, or data-driven analytics is a strong asset.Providing you with the support you need to be at your bestOur Values, The KPMG WayIntegrity, we do what is rightExcellence, we never stop learning and improvingCourage, we think and act boldlyTogether, we respect each other and draw strength from our differencesFor Better, we do what mattersKPMG in Canada is a proud equal opportunities employer and we are committed to creating a respectful, inclusive and barrier-free workplace that allows all of our people to reach their full potential.
