This is a high-impact governance role that requires sound judgement, industry expertise, operations and financial/commercial experience, and a commitment to accountability.Board Directors serve as stewards of the organization, ensuring that its operations align with legal and regulatory requirements, community values, and industry best practices. You will contribute to the oversight of financial performance, risk management, and strategic initiatives, while fostering a culture of transparency, innovation, and ethical governance.This role demands a forward-thinking mindset, the ability to navigate complex regulatory environments, and a deep understanding of the volving energy landscape in Ontario. Directors are expected to bring independent perspectives, constructively challenge assumptions, and collaborate effectively with fellow board members, executive leadership, and investors to guide Elexicon through transformation and growth.DUTIES AND RESPONSIBILITIESStrategic & Financial OversightContributes to the approval of strategic plans and oversight to align with legal and regulatory requirements, expectations of markets, communities and customers, and energy sector context.Contributes to approval and oversight of annual budgets, financial reporting, capital investment plans, and regulatory filings.Ensures the organization maintains financial sustainability, operational efficiency, and responsible investment practices to drive returns for the organization and shareholders.Assessing major business initiatives and ensuring alignment with the company’s mission, risk tolerance, and public accountabilityGovernance, Risk & Regulatory ComplianceContributes to approving and monitoring organization performance against corporate scorecard, strategic objectives and regulatory benchmarks.Ensures compliance with applicable legislation, regulation, and governance standardsOversees enterprise risk management, internal controls, and audit processes to safeguard organizational integrityPromotes ethical conduct, transparency, and accountability across all levels of the organizationBoard Engagement & Stakeholder LeadershipAttends and contributes meaningfully to Board and Committee meetings, including finance, audit, governance, risk and Human Resources, as well as the distribution operating company.Collaborates with fellow directors and executive leadership to support informed, balanced, and forward-looking decision making.Support initiatives that enhance public engagement, customer satisfaction and community resilience.Commits to ongoing professional development and promoting a culture of innovation, inclusion and continuous improvement within the board and organization.WHAT YOU NEED TO BE SUCCESSFULCore CompetenciesExtensive and proven experience in the energy sector, with knowledge of electricity distribution, utility operations, regulatory frameworks (e.g., Ontario Energy Board), and government and agency entities.Senior executive-level business leadership experience, ideally within regulated industries, with a track record in strategic planning, financial/commercial experience and acumen, governance experience, and operational oversight.Governance ExpertisePrior service on Boards or governance bodies, preferably in the energy sector and/or corporate/commercial sectors.Familiarity with Director’s responsibilities under the Ontario Business Corporations Act or another relevant legislation.Completion of recognized governance education programs (e.g., ICD.D, DEAP) is preferred.Leadership AttributesStrategic thinker with the ability to assess complex issues and contribute to long-term organizational planningHigh ethical standards, sound judgement, and a demonstrated commitment to fiduciary responsibilityStrong interpersonal and communication skills, with the ability to collaborate effectively and represent Elexicon with professionalismGood Governance OrientationStrong alignment with core ethical values, including transparency and accountabilityAwareness of Environmental, Social, and Governance (ESG) principles and their relevance to utility operations.Commitment to diversity, equity and inclusion in governance and decision-makingMINIMUM REQUIREMENTSMinimum 20 years of progressive leadership experience with energy sector i.e. electricity distribution, utility operations, energy policy or regulatory affairsProven track record in managing or advising operational businesses, preferably within regulated or capital-intensive industries.Expertise in financial management, investment analysis, budgeting and oversight of complex commercial operations.Prior experience serving on boards, advisory committees or governance bodies.Strong analytical, strategic and inter-personal communication skills, with an ability to collaborate, challenge constructively and contribute to consensus-driven decision-makingOur Commitment to Diversity, Equity, Inclusion and Belonging:Elexicon Energy embraces and celebrates our collective diversity.
